Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of LocalReach ("Service," "we," "us"), a Google Business Profile management platform. By accessing or using the Service, you agree to be bound by these Terms.

2. Services Provided

LocalReach provides services including, but not limited to:

  • Management and optimization of Google Business Profiles
  • Drafting and publishing of Google Business Posts on your behalf
  • Drafting and sending responses to Google reviews on your behalf
  • SMS-based review request campaigns sent to your customers
  • Reporting and analytics for your Google Business Profile

3. SMS Review Requests and TCPA Compliance

LocalReach enables businesses to send SMS review request messages to their customers via our platform. By uploading a customer contact list and initiating or approving review request messages, you represent, warrant, and agree to the following:

  • Existing Relationship: All recipients have an existing business relationship with you (e.g., prior customers, appointment holders, guests) and provided their phone number in the course of that relationship.
  • Consent: Each recipient has provided prior express consent to receive text messages from your business, or you have a reasonable basis to believe that such consent exists under applicable law.
  • Compliance with TCPA and State Laws: You are solely responsible for ensuring that your use of our SMS features complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, applicable state laws (including California's CCPA), and any other applicable regulations governing electronic communications and marketing.
  • Opt-Out Honored: All outbound messages include an opt-out mechanism ("Reply STOP to opt out"). You agree not to re-contact any recipient who has opted out.
  • Your Liability: You accept full legal responsibility for the contact lists you upload and the messages sent on your behalf. LocalReach is a technology platform and does not independently verify consent. Any claims, fines, or penalties arising from non-compliant messaging are solely your responsibility.

Notice to SMS Recipients

If you received an SMS message asking you to leave a Google review, that message was sent on behalf of a local business you have previously visited or transacted with. Your phone number was provided to that business in the course of your existing relationship with them.

  • Message type: One-time review request only. Not a marketing campaign or subscription.
  • Sender: LocalReach, acting on behalf of the business named in the message.
  • Opt-out: Reply STOP at any time to stop receiving messages. You will receive a confirmation and no further messages will be sent to your number.

  • Message and data rates may apply.

4. Google Business Profile Authorization

By connecting your Google account, you authorize LocalReach to access, manage, and publish content to your Google Business Profile on your behalf. You may revoke this authorization at any time through your Google account settings. You remain responsible for all content published under your profile.

5. Content Submitted

Photos, notes, and other content you upload to LocalReach remain your property. By submitting content, you grant LocalReach a non-exclusive license to use, store, and publish that content as part of delivering the Service. You represent that you own or have the rights to all content you submit, and that it does not violate any third-party rights.

6. Subscription and Payment

LocalReach is offered as a monthly subscription. Payment terms, pricing, and billing cycles are described at the time of purchase. Subscriptions renew automatically unless cancelled. Refunds are not provided for partial months. We reserve the right to modify pricing with 30 days' written notice.

7. Prohibited Use

You agree not to use LocalReach to:

  • Send unsolicited messages or spam
  • Harass, threaten, or harm any individual
  • Upload false or misleading content to Google Business Profiles
  • Violate any applicable law or regulation
  • Reverse-engineer, scrape, or resell any portion of the Service

8. Limitation of Liability

LocalReach is provided "as is." To the maximum extent permitted by law, LocalReach shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to claims arising from SMS campaigns, Google policy violations, or third-party actions. Our total liability shall not exceed the fees paid by you in the three months prior to the claim.

9. Termination

Either party may terminate the Service relationship at any time. We reserve the right to suspend or terminate accounts that violate these Terms, including misuse of the SMS review request feature.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use of the Service after notice constitutes your acceptance of the updated Terms.
